Contractor Terms & Agreement

This Contractor Terms Agreement (“Agreement”) is entered into between ServiceMAN (“ServiceMAN,” “we,” or “us”) and the independent contractor (“Contractor,” “you”) who participates in the ServiceMAN customer referral program.

By accepting work through ServiceMAN, Contractor agrees to the following terms and conditions.

1. Independent Contractor Relationship

Contractor acknowledges and agrees that they are an independent contractor and not an employee, partner, agent, or representative of ServiceMAN. Contractor is solely responsible for all business operations, taxes, licensing, insurance, and compliance with applicable laws.

2. Contractor Requirements

To participate in the ServiceMAN program, Contractor must meet and maintain all of the following requirements:

  • Hold current and valid licenses required for their trade

  • Maintain general liability insurance

  • Have a minimum of three (3) years of experience in their field

  • Commit to all work accepted through the ServiceMAN program

Violation of any of the above requirements will result in immediate termination from the ServiceMAN program without notice.

3. Accepting Repair Requests

Upon accepting a repair request from ServiceMAN, Contractor agrees to:

  • Contact the customer directly

  • Provide an estimated time of arrival (ETA)

  • Communicate ETA within fifteen (15) minutes of receiving the repair request

Failure to communicate promptly may be considered a violation of program standards.

4. Contractor Cancellations

If Contractor must cancel an accepted repair request:

  • Contractor must reply via text with “2” to indicate cancellation

  • Contractor understands that multiple or excessive cancellations negatively impact customer service

ServiceMAN reserves the sole right to determine what constitutes excessive cancellations. Repeated cancellations may result in termination from the program.

5. SERVICE FEE OR Trip Fee – Not Allowed

Contractor understands and agrees that charging customers a service fee, consultation fee, trip fee, diagnostic fee, or travel fee is strictly prohibited under the ServiceMAN program.

  • Only ServiceMAN may charge the customer the consultation/trip fee

  • Contractor may charge only for approved repair services performed

  • Any unauthorized fees charged to the customer may result in immediate termination

6. Customer Ownership

Contractor understands and agrees that:

  • All customers referred through the ServiceMAN platform are customers of ServiceMAN

  • Contractor may not solicit, divert, or independently contract with ServiceMAN customers outside the program

  • Any additional work requested by the customer must be referred back to ServiceMAN

Failure to comply may result in immediate termination and possible legal action.

7. Quality of Work

Contractor is solely responsible for the quality, safety, legality, and completion of all repair work performed. ServiceMAN is not responsible for workmanship, pricing disputes, or warranties offered by Contractor.

8. Termination

ServiceMAN reserves the right to suspend or terminate Contractor participation at any time, with or without notice, for violations of this Agreement, poor performance, customer complaints, or conduct deemed harmful to the ServiceMAN brand.

9. Indemnification

Contractor agrees to indemnify and hold harmless ServiceMAN from any claims, damages, losses, or liabilities arising from Contractor’s services, actions, or omissions. Any disputes will be settled by arbitration in the state of Texas.

10. Agreement Acceptance

By accepting repair requests or participating in the ServiceMAN program, Contractor acknowledges they have read, understood, and agreed to these Terms.
